The following are some court cases that have looked at piercing the corporate veil:
Hollowell v. Orleans Regional Hospital 1998 WL 283298 (E.D. La. 1998). The court held that the “veil” afforded by the LLC form can be pierced if the LLC was acting as the “alter ego” of its members or if the members were committing fraud or deceit on third parties through the LLC. The court noted that a ruling on the veil piercing issue requires a fact-intensive review of relationships, and declined to grant summary judgment to either party. The court also noted that La. law requires focussing on the 5 elements: (a) asset commingling; (b) failure to follow statutory formalities; (c) undercapitalization; (d) failure to separate bank accounts and books and records; and (e) failure to hold meeting. |
Tom Thumb Food Markets, Inc. v. TLH Properties, LLC 1999 WL 31168 (Minn, App. 1999). The court applied Minnesota corporate veil piercing case law, as required by the Minnesota LLC Act. The court ruled that the elements of veil piercing are (a) the entity ignores corporate formalities and acts as the shareholder’s alter ego and (b) the liability limitations of the corporate form result in injustice or are fundamentally unfair. The appellate court reversed the trial court’s veil piercing conclusion because there was no evidence that a member’s misleading statements concerning property ownership were intended to mislead the plaintiff. In addition, the court ruled that the plaintiff had “unclean hands” because its conduct contributed to the breach of lease. |
Hackl v. Commissioner of Internal Revenue Mr. and Mrs. Hackl had formed an LLC for a tree farming business. They issued ownership in the LLC as gifts to their children and other family members. The Hackls identified these transfers as tax excludable gifts in their tax return, which they would normally be. But because the Hackls had not properly structured and governed their LLC, the IRS and the Tax Court charged them hundreds of thousands of dollars of gift tax penalties. |
Coleman v. Coleman An owner of four successful businesses lost $6 million in a family dispute when his corporate veils were pierced by the court. He had ignored corporate formalities and had commingled personal and business funds. His reasoning? He "preferred to conduct corporate business personally rather than in the corporate name, because it was more convenient than observing appropriate corporate procedures." |
Falcone v. Night Watchman, Inc. An attorney had a law firm and was also sole stockholder of a restaurant. His restaurant was sued by a supplier for nonpayment. The corporate veil was pierced and the attorney held personally responsible for the debt. He had failed to maintain proper records, officers, and compliance requirements for either his restaurant or his law firm. The veil piercing risk didn’t hit his radar screen until after he was sued – and he was a practicing attorney! |

Automatically Creates Corporate Documents
The Corporate Documents screen lists all of the documents in the database except for reports which are on the main menu of each screen.
Options for letterhead, corporate seal, and notary appear when a title is selected. You can import different letterheads and corporate seals for each company and a different notary seal can be imported for all of the companies.
Once a document is selected a series of questions appear. Data is automatically inserted for reoccurring items. You can change the inserted answers and save the changes to the database.
Once questions are completed the document appears in a standard word processor for further editing. It can then be printed, saved to an RTF file, or saved to the database where it can be retrieved using the Saved Documents screen.

Stores and Retrieves Important Corporate Documents
Documents created in the BizDoc Software can be saved to the database so they can be retrieved later.
Documents are organized by company and displayed in the order they were created. Clicking a company tab at the top of the screen displays all of the documents saved for that company. Saved documents can be modified, saved under a different title, printed, or saved in an RTF file format.
Nearly any word processor document can be copied and pasted into the BizDoc Software word processor where it can be saved to the database. Documents entered for one company can be copied and saved for another company.
RTF files can be opened directly in the word processor. Documents can be emailed to anyone with an email address in the database.
Notifies You of Important Dates In The Calendar
The dates of corporate documents, director meetings, shareholder meetings, and stock transactions are tracked and displayed on the corporate calendar for each company.
Requirements for future corporate activities are also displayed such as the annual corporate renewal due date, the date the annual shareholder meeting is due, and the date the federal quarterly and end of year tax statements are due.
Color coded dates are displayed graphically on the calendar while text details are listed on the right side of the screen.
The date corporate documents are created, director and shareholder meetings are held, stock transactions take place, and corporate requirements are due, are displayed on the corporate calendar.
Provides a Complete To Do List For Each Company
Use the To-Do List to keep track of the tasks that need to be completed for each corporate structure. A separate to-do list is maintained for each corporation.
